Terms of Service

1. Agreement to Terms

By accessing or using Qodiak ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users, including visitors, registered users, and paying subscribers.

2. Account Responsibilities

2.1 Account Creation

You must provide accurate, current, and complete information during registration. You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of unauthorized access
  • Ensuring your account is used only by authorized individuals

2.2 Age Requirements

You must be at least 13 years old to use Qodiak. If you are between 13 and 18, you must have parental or guardian consent.

3. Acceptable Use Policy

You agree NOT to use Qodiak to:

  • Violate any laws, regulations, or third-party rights
  • Distribute malware, viruses, or malicious code
  • Harass, abuse, or harm others
  • Collect personal data without consent
  • Conduct phishing, spamming, or fraudulent activities
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service for illegal gambling, adult content, or weapons distribution
  • Violate intellectual property rights
  • Overload or attack our infrastructure (DoS/DDoS)

4. Data Access, Credentials, and Authorization

4.1 Authorization to Access User Data

By connecting external data sources (including but not limited to SQL Server, MySQL, PostgreSQL, Google Sheets, APIs, or other systems), you expressly authorize Qodiak to:

  • Access, read, process, modify, create, delete, and store data
  • Perform automated, scheduled, or user-initiated actions
  • Execute scripts, workflows, integrations, or AI-assisted operations
  • Perform actions that may be irreversible

You represent and warrant that:

  • You own the data or have full legal authority to grant access
  • You are permitted to grant Qodiak the permissions you configure
  • Your use complies with all applicable laws and third-party terms

Qodiak acts solely as a data processor. You remain the data controller and retain full responsibility for the data and outcomes.

4.2 Credential Handling

You acknowledge and agree that:

  • Credentials may be stored in encrypted or tokenized form, or processed transiently
  • Qodiak does not verify credential scope, permissions, or correctness
  • You are responsible for ensuring credentials are accurate, authorized, and secure

Qodiak is not responsible for damages caused by:

  • Excessive permissions granted by you
  • Compromised credentials originating outside our systems
  • Third-party platform vulnerabilities
  • User misconfiguration or automation logic

5. Service Limitations

5.1 Script Execution Restrictions

User-provided JavaScript scripts are executed with strict limitations including configurable timeouts, memory limits, statement limits, and sandboxed isolation. Scripts cannot access other tenants' data, the file system, or the network. Scripts that exceed resource limits will be terminated and may result in account suspension.

5.2 Rate Limiting

API endpoints are rate-limited to prevent abuse. Requests that exceed rate limits will be temporarily throttled. Repeated abuse may result in account suspension.

5.3 Plan Limits

Each subscription plan has specific usage limits including the number of apps, submissions, storage, and other resources. Current plans, pricing, and usage limits are available on our Pricing page and in your account dashboard. Exceeding plan limits may require an upgrade to continue using certain features.

6. Intellectual Property

6.1 Your Content

You retain all ownership rights to content you create, including:

  • Apps, forms, and page configurations
  • Custom JavaScript scripts
  • Form submissions and collected data
  • Uploaded files and assets

By using Qodiak, you grant us a limited, non-exclusive license to host, store, execute, and display your content solely to provide the Service.

6.2 Qodiak Platform

The Qodiak platform, including its code, design, logos, and documentation, is owned by Qodiak and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the platform without written permission.

7. Billing & Subscriptions

7.1 Plans and Pricing

Qodiak offers multiple subscription plans with varying features and limits. Current plan details, pricing, and features are available on our Pricing page. We reserve the right to modify or discontinue any plan with 30 days notice.

7.2 Paid Plans

  • Paid plans are billed monthly or annually as selected at the time of purchase
  • Automatic renewal unless canceled before the end of the billing period
  • If you believe you are entitled to a refund, please contact support@qodiak.com within 14 days of purchase
  • Refunds are not provided for partial billing periods

7.3 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • Your account remains active until the end of the billing period
  • Your account reverts to the free plan limits
  • No refunds for remaining subscription time

7.4 Price Changes

We may change pricing with 30 days advance notice. Current subscribers will be grandfathered at their existing rate for 6 months.

8. Service Availability

8.1 Uptime

Qodiak provides the Service on a best-effort basis. We strive for high availability but do not guarantee uninterrupted access. Custom SLA agreements may be available for qualifying plans.

8.2 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice.

8.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any feature or service with 30 days notice. Critical security updates may be deployed immediately.

9. Account Termination

9.1 Voluntary Termination

You may request deletion of your account by contacting support@qodiak.com. All data will be permanently deleted within 30 days, subject to backup retention.

9.2 Termination for Violation

We may suspend or terminate your account immediately if you:

  • Violate these Terms or Acceptable Use Policy
  • Engage in fraudulent or illegal activities
  • Fail to pay subscription fees
  • Pose a security risk to other users or the platform

9.3 Data Export

You are responsible for exporting data prior to termination. Deleted data cannot be recovered.

10. Audit Logs & Responsibility

Qodiak may maintain audit logs of actions performed by your account for transparency and security purposes. Audit logs do not imply validation, monitoring, or correctness of your configurations.

You are solely responsible for reviewing and approving all actions performed by the Service.

11. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE".

To the fullest extent permitted by law, Qodiak is not liable for:

  • Data loss, corruption, or deletion
  • Business interruption or lost profits
  • Automated or AI-assisted actions
  • Third-party system failures or integrations
  • Misconfigurations or permission errors

Total liability is limited to fees paid in the 12 months preceding the claim.

11.1 Backups

You are responsible for maintaining your own backups. Data recovery is not guaranteed.

12. Indemnification

You agree to indemnify and hold harmless Qodiak from claims, damages, penalties, or expenses arising from:

  • Your data or content
  • Unauthorized access or permissions you granted
  • Violations of law or third-party terms
  • Regulatory or privacy claims related to your data

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration or in courts located in Ontario, Canada.

14. Changes to Terms

We may update these Terms periodically. We will notify you of material changes via email or a prominent notice on the platform. Where required by applicable law, we will seek your explicit re-acceptance of updated Terms before they take effect. Continued use of the Service after notification of non-material changes constitutes acceptance.
